Board Spotlight: Co-op Director Achieves Credential and Annual Meeting Set for May 12, 2022 at Sikeston

A regular meeting of the Board of Directors of SEMO Electric Cooperative, Inc., (hereinafter referred to as “Cooperative”) was held on Monday, February 21, 2022, at the offices of the Cooperative in Sikeston, Missouri. The meeting was called to order at 12:10 p.m. by President Richard Faulkner. The following Directors were present: Faulkner, Butch Dirnberger, Carl Eftink, Dennis Fowler, Myron Hawes, James Deneke, Carla Moore, Keith Haynes, Dicky Hanor, Tim Coppage and John Bledsoe. Directors absent: Hamil Corse.

A prayer of invocation was offered by Bobbi Jeffries. The chair asked for approval of the agenda. On motion made, seconded and passed, the agenda was approved. The Board considered its consent agenda consisting of: the minutes of the regular meeting of January 17, 2022; new membership applications; membership cancellations; initial review of Policy 421, Member Attendance at Board Meetings; and initial review of Policy 422, Prepay Metering. On motion made, seconded and passed, the actions required for each were approved by consent.

CEO Sean Vanslyke presented the monthly safety report. He highlighted a recent letter from Federated Rural Electric Insurance Exchange, which provides the Cooperative’s fleet and facility insurance. Based on a recent safety and loss assessment, Federated said the Cooperative has “established programs for safety and loss prevention” that recognize the importance of internal and external safety. The Board accepted the monthly safety report.

Vanslyke reviewed the financial summary for the month of January 2022 with revenue and expense analysis and budget comparisons. Compared to budget, revenue is up 6.67%, expenses are down 3.20% and power costs up 11.04%. The Board accepted the Financial Report.

Eftink reported on business from the M&A Electric Power (transmission) Cooperative board meeting. Items of interest included: finances; AECI update; and reliability. Haynes reported on business from the Association of Missouri Electric Cooperatives’ board meeting. Items of interest included: legislative conference; committee reports; Rural Missouri update; workers comp update; and power generation update.

Under old business the Board: reviewed its schedule of meetings and confirmed registrations for attendance; Policy 419, Platted Subdivisions, and Policy 420, Information Access, were affirmed as presented. Under new business the Board: resolved to appoint Eftink to represent the Cooperative on the Board of M&A; Policy 305, Check Signatures; resolved to appoint Cooperative Counsel, Megan Ray, as Parliamentarian of the 2022 Annual Meeting of Members and further resolved that all rulings of the Parliamentarian, whether procedural or substantive, shall be final; and resolved to appoint members to serve on the Nominating Committee as presented. The Annual Meeting will be held on May 12.

The Board reviewed written staff reports. The remaining guests were excused from the meeting. Thereafter, the Board entered into Executive Session to discuss legal and personnel matters. There being no further business to come before the Board the meeting was adjourned at 5:05 p.m.

For a director to earn the Director Gold certificate, they must have already earned the Credentialed Cooperative Director (CCD) and Board Leadership Certificate (BLC) and earn three additional credits from the BLC series of courses. Unlike the CCD and BLC certificates, Director Gold includes a continuing education requirement which calls for directors to earn three credits of approved course work every two years.
